Contact Energy directors face a heated annual meeting in two months' time after they failed to satisfy investor calls for strengthened corporate governance measures at the electricity generator.
Activist fund manager Brook Asset Management and the Shareholders Association are likely to raise questions over the appointment of Contact chief executive David Baldwin - a secondee from major shareholder Origin.
They will also object to independent directors Phil Pryke, Tim Saunders and John Milne's handling of Origin's aborted merger attempt.
